Website creation service
These terms govern website design, development, configuration, delivery, hosting and maintenance services ordered from ARTsynonyme, operated by Thierry Lange, sole trader under the French micro-enterprise regime.
The quotation and any special terms prevail over these general terms if they expressly differ.
A request submitted through the website is not an order. The contract is formed only after the Client has accepted the dated quotation and these terms on a durable medium. The quotation specifies the deliverables, options, price, payment schedule, timetable, revision rounds and its validity period.
Where the Client is a consumer and asks for work to start before the end of the fourteen-day withdrawal period, the quotation records that express request separately and the Client's acknowledgement that the right of withdrawal will be lost once the service has been fully performed.
Any service not expressly included in the quotation requires an additional quotation or written amendment.
Prices are stated in euros, net of tax. French VAT is not applicable under Article 293 B of the French General Tax Code. The payment schedule appears on the quotation and invoice. Any deposit stated on the quotation is payable when the order is placed. The balance is payable according to the quotation and, at the latest, on final acceptance before the production credentials are handed over.
For business Clients, late-payment penalties are due automatically from the day following the invoice due date at the European Central Bank refinancing rate plus ten percentage points, together with the statutory €40 recovery fee. Additional proven recovery costs may be claimed.
The contractual delivery date or period is stated on the quotation. It starts on the latest of: acceptance of the quotation, receipt of any agreed deposit, expiry of the consumer withdrawal period or receipt of an express request for early performance, and receipt of all content, access details and instructions required from the Client.
The timetable is suspended for any delay, missing item, change request or approval pending from the Client. ARTsynonyme then provides a revised timetable. Any date described as indicative is not a firm contractual deadline.
The Client must provide accurate, usable and lawful content within the agreed time, appoint one contact person and give grouped feedback. The Client warrants that it owns or has permission to use all texts, images, logos, fonts, trademarks, databases and other material supplied, and indemnifies ARTsynonyme against third-party claims concerning that material.
The Client remains responsible for the legal notices, privacy information, sales terms, prices and regulatory information relating to its own activity unless the quotation expressly includes their preparation. Any legal template must be checked and adapted by the Client for its activity.
The quotation states the scope and number of revision rounds. Feedback must be consolidated and relate to the agreed scope. A change of direction after approval, additional pages or features, or repeated revisions may result in an additional quotation and a revised timetable.
ARTsynonyme provides a review version before publication. The Client checks the content, links, forms, responsive presentation and agreed features, then returns either a signed final acceptance form or a precise list of reservations.
Final acceptance without reservations authorises publication. Acceptance with reservations lists the remaining corrections; acceptance becomes final when they have been corrected and approved. Silence does not constitute final acceptance, but suspends the timetable until the Client replies.
Where included, the domain name and hosting account are registered in the Client's name, subject to availability and the provider's rules. The Client is responsible for renewal charges after any period included in the quotation. ARTsynonyme may act as technical contact only with the Client's authorisation.
After full payment and final acceptance, the Client receives the agreed production credentials. The Client must change personal passwords after handover and keep them confidential.
The Client retains all rights in the content it supplies. After full payment, ARTsynonyme assigns to the Client, for the website identified in the quotation, the economic rights to reproduce, represent and adapt the original custom elements specifically created and identified as deliverables. This assignment applies worldwide, for all digital media required to operate, maintain, promote and evolve that website, for the full statutory term of protection.
The assignment excludes ARTsynonyme's pre-existing tools, generic components, methods and know-how, as well as third-party elements, fonts, libraries, themes, software and open-source components, which remain governed by their respective licences. The Client receives the usage rights required to operate the delivered website. Authors' moral rights remain unaffected.
Corrective or security maintenance, backups and support are included only if stated in the quotation or in a separate maintenance plan. Registrars, hosting providers, payment services and other third parties remain responsible for their own services and terms. Changes imposed by a third party after delivery are outside the initial scope.
A consumer concluding the contract at a distance has fourteen days from its conclusion to withdraw, using the form below or any unambiguous statement. If the consumer expressly asks for work to start before the end of that period and then withdraws, the consumer pays the amount proportionate to the work performed up to that date.
The consumer acknowledges that the right of withdrawal is lost once the service has been fully performed, provided performance began with the consumer's prior express request and acknowledgement of that loss. This does not remove the right of withdrawal merely because the website is customised.
To: ARTsynonyme, 15bis Place de la Poissonnerie, 56000 Vannes, France — admin@artsynonyme.com
I hereby notify my withdrawal from the website creation service ordered on [date]. Name: [name]. Address: [address]. Date and signature (for paper submissions): [date/signature].
Where the delivered website qualifies as digital content or a digital service, the consumer is entitled to the statutory conformity guarantee for defects appearing within two years from a one-off supply. For hosting or maintenance supplied continuously, the guarantee applies throughout the contractual supply period. During the applicable period, the consumer only has to establish the existence of the defect, not the date on which it appeared.
The guarantee includes the updates required to maintain conformity during the applicable period. It entitles the consumer to have the digital content or service brought into conformity without undue delay, free of charge and without major inconvenience.
The consumer may obtain a price reduction while keeping the service, or terminate the contract against giving up the service, where ARTsynonyme refuses conformity, conformity is unjustifiably delayed, would impose costs or major inconvenience, or the defect persists after an unsuccessful attempt. An immediate price reduction or termination is available where the defect is sufficiently serious. A minor defect allows termination only where the contract does not require payment.
Any period of unavailability caused by bringing the service into conformity suspends the remaining guarantee period. These rights arise under Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.
The consumer also benefits from the statutory guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code for two years from discovery of the defect.
Guarantor: ARTsynonyme — Thierry Lange — 15bis Place de la Poissonnerie, 56000 Vannes, France — admin@artsynonyme.com.
Each party is responsible for direct and foreseeable damage caused by its proven breach. ARTsynonyme is not liable for Client-supplied content, misuse, unauthorised changes, third-party failures, loss caused by credentials disclosed by the Client, or indirect business losses to the extent permitted by law. No clause limits liability that cannot legally be limited.
Neither party is liable for delay caused by a force majeure event as defined by French law. The affected party informs the other promptly and performance is suspended for the duration of the event.
If either party commits a serious breach and fails to remedy it within fifteen days after written notice, the other may terminate the contract. Work completed, committed third-party costs and properly performed services remain payable. Consumer mandatory rights remain unaffected.
Data required for quotations, orders, billing and project delivery are processed in accordance with the Privacy Policy. The Client must not send passwords through the quotation form or ordinary email.
Complaints must first be sent to admin@artsynonyme.com. A consumer may then use the CM2C consumer mediator free of charge: 49 rue de Ponthieu, 75008 Paris, France — www.cm2c.net.
French law applies, without depriving consumers resident in another country of their mandatory protections. Disputes are brought before the court having jurisdiction under applicable law.
